swapping a motherboard, need to reinstall os?

Question:I am swapping a motherboard out with a different new one and also changing the cpu, would I need to and can I use the upgrade cd that came with my computer and the product key that is on the sticker on the side of my computer case or do I have to buy a whole new operating system?

Uhm... "yes" to which of smr1909's questions?  "can I use the upgrade cd that came with my computer and the product key" or "do I have to buy a whole new operating system".  Can I assume the first?

Ie, if I want to reformat my machine and then install XP Pro with the same PID as before, will it work?
